Terms governing use of our website. Our client engagements are governed by separate Master Service Agreements and statements of work.
These Terms of Service ("Terms") govern your access to and use of the website operated by ITva Technologies LLC ("ITva," "we," "our," or "us") at itvatechnologies.com and any related subdomains (collectively, the "Website").
By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.
Important: These Terms govern only your use of our website. If you become an ITva client, your engagement will be governed by a separate Master Service Agreement (MSA), statement of work, and (where applicable) Business Associate Agreement (BAA). The terms of those agreements supersede these website Terms for engagement-specific matters.
This Terms of Service template is appropriate for a marketing/informational website. The substantive client terms (liability limits, indemnification, dispute resolution, service warranties) belong in your MSA, not here. Have a Florida attorney review for proper alignment between this website ToS and your client MSAs.
1. Acceptance of Terms
By accessing the Website, you confirm that you are at least 18 years old or the age of legal majority in your jurisdiction, and that you have the authority to enter into these Terms either on your own behalf or on behalf of the entity you represent.

- Your violation of any third-party rights

12. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of the Website shall be resolved in the state or federal courts located in Miami-Dade County, Florida. You consent to the exclusive jurisdiction of these courts.
Above sets dispute venue to Miami-Dade County courts (state and federal). Some businesses prefer arbitration clauses for cost reasons. Discuss with attorney whether to add an arbitration clause (AAA, JAMS, etc.) or keep court-based resolution.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date at the top and, where appropriate, by Website notice. Your continued use of the Website after changes are posted constitutes acceptance of the modified Terms.
